PLEASE READ THIS LICENCE CAREFULLY. By using the software supplied with this Licence ("Software Product") you agree to be bound by the terms of this Licence. By using, copying or installing the Software Product you indicate your acceptance of this License. If you do not accept this License: (1) click the "Cancel" button to terminate the installation process, (2) do not copy, install or otherwise use the Software Product, and (3) promptly contact Digital Solutions Limited ("Company") for a full refund of the registration fee paid by you for the Software Product.
1. GRANT OF LICENSE
The Software Product includes computer software, files, data, and any online or electronic documentation.
The Company hereby grants you a non-exclusive, non-transferable license to install and use the Software Product. Title, ownership and all rights in and to the Software Product shall remain in the Company.
(a) Evaluation
You may use the Software Product for evaluation purposes without charge for a period of 30 days. If you use the Software Product after the 30 day evaluation period, you must pay the registration fee for the Software Product.
(b) Registration
After you have paid the registration fee for the Software Product, and have received the serial number enabling the registration of the Software Product, you are licensed to install and use the Software Product on the number of computers corresponding to the number of registered copies of the Software Product that you have purchased. The primary user of the computer on which each registered copy of the Software Product is installed may make a second copy for his or her exclusive use on a portable computer. Under no other circumstances may the Software Product be operated at the same time on more than the number of computers for which you have paid a separate registration fee. You may not duplicate the Software Product in whole or in part, except that you may make one copy of the Software Product for backup or archival purposes. You may terminate this license at any time by destroying the original and all copies of the Software Product in whatever form. You may permanently transfer all of your rights under this License provided you transfer all copies of the Software Product (including copies of all prior versions if the Software Product is an upgrade) and retain none, and the recipient agrees to the terms
of this License.
2. RESTRICTIONS
You must not distribute the Software Product. You may not reverse engineer, decompile or disassemble the Software Product. You may
not modify, rent, lease, loan, resell for profit, network or create derivatives works based upon the Software Product or any part thereof.
3. TERMINATION
Without prejudice to any other rights, the Company may terminate this License if you fail to comply with the terms and conditions of this License. In such event, you must destroy all copies of the Software Product.
4. COPYRIGHT
The Software Product is owned by Digital Solutions Limited and is protected by international treaty provisions. You may not copy the printed materials accompanying the Software Product (if any), nor print copies of any user documentation provided in on-line or electronic form. You must not redistribute the serial numbers provided, neither on paper nor electronically.
5. ENTIRE AGREEMENT
This License shall form the entire agreement between you and the Company and supersedes any previous agreement, oral or otherwise, in the use of the Software Product.
In the event of invalidity of any provision of this License you agree that it shall not affect the validity of the remaining provisions of this License.
6. GENERAL
All rights not expressly granted in this License are reserved by the Company.
The Company is not obliged to provide updates to the Software Product. However, should any updates to the Software Product be provided, they shall be covered by this License.
This License shall be governed by the laws of New Zealand.
7. NO WARRANTIES
You agree to indemnify and hold the Company, its officers, directors, employees, agents, shareholders, licensors, suppliers, affiliates and any third party distributors harmless from and against any and all damages, losses, costs including attorney fees
and expenses asserted by any third party due to or arising out of your use of the Software Product.
THE SOFTWARE PRODUCT IS DISTRIBUTED AND PROVIDED ON AN "AS IS" BASIS AND WITH NO WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. THE COMPANY DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATION REGARDING THE ACCURACY, RELIABILITY, CURRENTNESS, USE, OR RESULTS OF USE, OF THE SOFTWARE PRODUCT.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER
PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY'S LIABILITY FOR ANY CLAIM EXCEED THE GREATER OF THE REGISTRATION FEE PAID
BY YOU FOR THE SOFTWARE PRODUCT OR NZ$1, REGARDLESS OF THE FORM OF CLAIM. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE SELECTION OF THE SOFTWARE TO ACHIEVE THE RESULTS YOU INTEND AND FOR THE INSTALLATION OF, USE OF, AND RESULTS OBTAINED FROM, THE SOFTWARE
PRODUCT.
